Terms of Service

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

We reserve the right to suspend or terminate your account for violation of these Terms. Except in cases of serious or repeated violations, we will provide reasonable notice before terminating your account and give you an opportunity to retrieve your content.

You retain ownership of all Content you upload to the Service. By uploading Content, you represent that you have the right to do so and that your Content does not violate any third party's rights.

By uploading Content to the Service, you grant Prizd a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your Content solely for the purpose of operating and improving the Service.

This license terminates when you delete your Content from the Service, except for Content that has been shared with or saved by other users prior to deletion. For such shared Content, the license continues only to the extent necessary to display the already-shared copies.

By using the Service, you consent to having your Content processed by AI systems for features such as automatic description generation, categorization, and recommendations. You can control these features in your account settings.

We reserve the right to remove any Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or otherwise objectionable. For copyright infringement claims, please refer to our Copyright & DMCA Policy.

The Service, including its design, features, and functionality, is owned by Prizd and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

"Prizd," the Prizd logo, and other Prizd marks are trademarks of Prizd. You may not use these marks without our prior written permission.

If you believe that your copyrighted work has been copied and is accessible on the Service in a way that constitutes copyright infringement, please follow the procedures described in our Copyright & DMCA Policy.

Prizd offers the following subscription plans:

• Free: $0 — Core features including Vault creation, item uploads, and community participation.
• Supporter: $3/month or $30/year — Enhanced features including additional storage, priority support, and exclusive badges.

Prices are in USD and include applicable taxes. For full pricing details in compliance with Japanese law, see our Commercial Transaction Act Disclosure.

Payments are processed through Stripe, our third-party payment processor. By making a purchase, you agree to Stripe's terms of service and privacy policy. Prizd does not store your complete payment card information.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings. After cancellation, you will retain access to Premium Features until the end of the current billing period.

No refunds or credits are issued for partial billing periods. You may cancel at any time, and you will continue to have access to Premium Features until the end of your current billing period.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible for any damage or loss resulting from your use of the Service.

The Service may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of any third-party websites or services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIZD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including Japan's Consumer Contract Act (消費者契約法). For consumers in Japan, any provisions found to be unfair under the Consumer Contract Act shall be limited to the extent permitted by law.

If you engage in any transactions with other users through the Service (when such features become available), you do so at your own risk. Prizd is not a party to any such transactions and shall not be liable for any disputes arising from them.

Before filing any formal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at legal@prizd.app. We will attempt to resolve the dispute within 30 days. If the dispute is not resolved within 30 days, either party may proceed with formal proceedings.

Disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所) as the court of first instance.

For U.S. residents, disputes that cannot be resolved informally shall be resolved through binding arbitration administered by a mutually agreed-upon arbitration provider, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver: To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

30-Day Opt-Out Right: You have the right to opt out of binding arbitration and the class action waiver by sending written notice of your decision to opt out to legal@prizd.app within 30 days of first accepting these Terms.

For users residing outside of Japan and the United States, disputes shall be resolved in accordance with the laws of Japan in the Tokyo District Court, unless your local law provides for a different forum that cannot be waived by contract.

We may modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice by posting the updated Terms on the Service, updating the "Last Updated" date, and notifying you via email or in-app notification.

If you do not agree with the revised Terms, you may terminate your account before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. For significant changes, we will provide reasonable advance notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

You may terminate your account at any time by following the instructions in your account settings. Upon termination, your right to use the Service will immediately cease.
